Lessons From The 2026 N-PX Season and How to Make 2027 Easier

Another N-PX season is in the books. Since N-PX is an annual filing, it can be easy to submit it and then forget about it until next year. We thought it might be helpful to share some common themes we noticed with this year’s N-PX filings, as well as some recommendations to make filings as smooth as possible next year to minimize the back-and-forth conversations and ensure the fastest route to filing.


Below are our 4 key takeaways and recommendations for next year:

  1. Incomplete voting records. The most frequent issue we saw was incomplete voting records starting at column 12 (details of vote). Form N-PX requires, for each matter voted, the number of shares voted (or instructed to be voted), how those shares were voted, and whether the vote was for or against management’s recommendation. Suspended test filings were often traceable to missing shares-voted or management-recommendation values.   2. Series identification in multi-series reports. For multi-series filers, vote records that don’t carry a clear series identifier are often attributed manually in column 14. While not a required field, having this column completed helps to ensure the submission header and filing accurately reflect all series included in the filing.
  3. Source-format variability. Vote records generated by proxy voting service providers arrive in a range of formats, field orders, and levels of completeness. To ensure completeness of the voting report, we recommend extracting all fields if that is an option with your service provider. Some clients do not have access to EDGAR-ready XML files from their provider, which is workable, but in those cases the export must include all available fields for the voting report to be complete.
  4. XML file availability. If EDGAR-ready XML files are included in your subscription, they’re the quickest path to compiling a filing, but they are not required. If XML files are only available with a higher tier, we can also work with a completed Excel export as long as all fields are included.

What you can do to prepare for the next N-PX season:

  1. Send a sample extract early. FilePoint is happy to review a sample extract from your proxy service provider, or even a completed FilePoint template, to confirm the completeness of the data. We can let you know early if the format is suitable for filing or if a different format needs to be extracted.
  2. If using our N-PX template, ensure all required fields are completed. Our updated validation guide specifies all required fields and conditions, so you can confirm your data is complete before sending it over.
  3. Include series identifiers if you have more than one series in a filing. Including series IDs in column 14 will ensure the EDGAR submission header is completed accurately, and series are not left out of the filing.
  4. If XML is included with your subscription, send it. EDGAR-ready XML is the quickest route to getting a draft and test filing.
